Guide to company formation in Romania

The registration of a new company in a foreign country involves numerous formalities that may be beyond the capacity of a person who does not deal with company incorporation professionally. To help would-be owners, we have prepared a short guide on what to keep in mind when setting up a new company in Romania. 

Usually, the whole registration process takes 3-4 days to obtain paper documents of an established company.

  1. Choosing a company name

Remember to prepare three potential company name variants and forget to check their availability at the trade register (onrc.ro). Before proceeding further with the registration of the company, submit an electronic request to check the availability of the chosen name and reservation for a period of 3 months. Unfortunately there is no way for non-Romanian residents to obtain the access to the module. It requires also electronically proved signature issued by a Romanian public office.

It is worth remembering: in many cases, clients choose names that correspond to the names of their company websites. Therefore, before making a final decision, it is worth checking whether the name is also available as a domain name.

  1. Documents necessary for a company formation in Romania

An essential step in registering a new company is to provide all the required documents, among which are:

  • Copy/scan of identity card (passport if current address of residence is outside Poland)
  • Electronic application for company name registration (available at oncr.ro)
  • Proof of availability of the selected company name
  • Application for registration of a business together with a form on the form of business taxation and a form on foreign investment
  • Declarations, signed by the members of the board of directors stating that: the legal person concerned has not carried out the activities it declares on or off its premises for a period of not more than 3 years; the legal person fulfills the necessary conditions for exercising the activity
  • Electronic specimen signatures of persons representing the company
  • Declarations of the founders, administrators, censors or persons physically representing the legal person in question
  • Copies of identity documents of founders, administrators, censors or auditors
  • The status of SRL
  • Document confirming the right to use the real estate as the company’s registered office
  • Declaration (original) on the sole responsibility of a foreign natural person or representative of a foreign legal entity not registered in Romania who acts on behalf of the company
  • Information on the tax registration of directors, shareholders, legal representatives of the company

The company documents should be prepared in two language versions: English and Romanian. 

3. Establishment of the company’s registered office address

Romanian law requires a company to have a physical registered office in the country (it cannot be, for example, just a post office box) in order to deliver official notices, etc. This can be a house or flat, private or rented. 

4. Payment of share capital

Once the company has been established and a company bank account has been opened, the share capital, which is a minimum of 1 RON, must be paid in.

5. Other essential documents

In addition to completing the above steps, you still need to register as a VAT and VAT-EU taxpayer by:

  • Completing a registration form for VAT purposes
  • Submit a tax return to the tax office (within the first 30 days of running the company)
  • Obtain confirmation from the Commercial Register that your business activity is active
  • Provide a copy of the company’s registered office documentation
  • For non-EU directors, obtain a long-term visa or a certificate issued by the Romanian Immigration Office.
